Contract agreement for Therapist in fitness facility

I've been approached by a fitness facility that we have a good relationship with

about having one of our therapists on-site in their facility part time. This

would be a mutually beneficial service for both of our entities but I would

first like to have a formal, written agreement.

Does anyone know of a resource, or have personal experience with, drawing up

such an agreement?

I want to ensure that we are clear on services we provide, what the facility's

responsibilities are, and maybe most importantly, that they don't poach the

therapist that we send there.
